These terms apply to all visitors, distributors, and partners. For bulk or private-label arrangements, the specific terms of your signed agreement with us take precedence over this document.

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Site. Prohibited conduct includes:

• Using the Site to transmit unlawful, defamatory, or infringing material;

Nothing on the Site grants you any license or right to use our trademarks or content without prior written consent. Product names, logos, and brand assets shown for distribution partners remain the intellectual property of their respective owners.

Products, Orders & Distribution

Product descriptions, specifications, and pricing shown on the Site are for reference and do not constitute a binding offer. All orders — including standard supply and distributor shipments — are subject to acceptance and a formal quotation or contract.

• Minimum order quantities (MOQ) vary by product and market and are confirmed at quotation.
• Lead times are estimates; actual production and shipping schedules are confirmed in your order documentation.
• Custom formulations and packaging are developed under separate confidentiality and partnership agreements.

We reserve the right to discontinue or modify any product without prior notice.

Pricing & Payment

Quoted prices are exclusive of applicable taxes, duties, and freight unless stated otherwise. Payment terms (commonly T/T) and conditions are defined in the proforma invoice and partnership agreement. Title and risk pass according to the agreed Incoterms.

Limitation of Liability

The Site and its content are provided “as is” without warranties of any kind, express or implied. To the fullest extent permitted by law, Moni Happy shall not be liable for any indirect, incidental, or consequential damages arising from your use of, or inability to use, the Site.

Product warranties, where applicable, are governed solely by the terms of your supply or partnership agreement, not by this page.

Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the jurisdiction in which Moni Happy’s operating entity is registered, without regard to conflict-of-law principles. Any dispute shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

Changes to Terms

We may update these Terms of Use from time to time. Material changes will be reflected by the “Last updated” date above. Your continued use of the Site after changes are posted constitutes acceptance of the revised terms.
